End User License Agreement
The license terms for downloading, installing, and using the Nupick desktop app.
This End User License Agreement (“EULA”) is between you and Nupick AI Private Limited, a private limited company with registered office at 505 Lake View, Madinaguda, Hyderabad, India - 500049.
This EULA governs your download, installation, access, and use of the Nupick desktop application, related software, updates, documentation, and components.
1. Acceptance
1.1 By downloading, installing, copying, accessing, or using Nupick, you agree to this EULA.
1.2 If you do not agree, do not install or use Nupick.
1.3 If you use Nupick on behalf of an organization, you represent that you have authority to bind that organization.
2. Software Description
2.1 Nupick is a cross-platform desktop AI application for Windows, macOS, and Linux.
2.2 Nupick is designed as a local-first application.
2.3 Nupick may support local AI model execution, chat, document search, RAG, image processing, PDF/document processing, local memory, connectors, local model management, and AI-assisted workflows.
2.4 Code repository processing is planned.
2.5 Voice mode and Automate mode are not available in the current beta.
3. Beta License
3.1 Nupick is currently provided as a free, invite-only beta.
3.2 Beta access is subject to approval and may be revoked at any time.
3.3 Beta builds are not production-ready.
3.4 Beta users should avoid sensitive, regulated, confidential, or production data.
3.5 Beta features may change, break, be limited, or be removed without notice.
4. License Grant
4.1 Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Nupick on devices you own or control.
4.2 The beta license allows personal, commercial, internal business, and evaluation use, subject to beta restrictions, confidentiality obligations, and any separate NDA.
4.3 Future paid plans may include per-seat, per-device, enterprise, lifetime, subscription, or usage-based license limits.
4.4 This EULA does not transfer ownership of Nupick to you.
5. License Restrictions
You may not:
- (a) copy, distribute, rent, lease, lend, sell, sublicense, host, or commercially exploit Nupick except as expressly permitted;
- (b) reverse engineer, decompile, disassemble, modify, adapt, translate, or create derivative works of Nupick, except where such restriction is prohibited by law;
- (c) remove proprietary notices;
- (d) bypass license controls, telemetry controls, update mechanisms, security mechanisms, usage limits, or access controls;
- (e) extract or misuse API keys, credentials, tokens, secrets, signing keys, or update mechanisms;
- (f) use Nupick to build malware, phishing systems, spam systems, surveillance tools, or other harmful systems;
- (g) use Nupick in violation of law, third-party rights, or third-party provider terms;
- (h) use Nupick for healthcare diagnosis, legal advice, financial trading, employment screening, insurance eligibility, credit decisions, biometric identification, children’s profiling, weapons-related use, surveillance, or safety-critical systems;
- (i) use Nupick to develop, benchmark, train, or improve a competing product, except where prohibited by law.
6. Ownership
6.1 Nupick, including source code, object code, design, interface, architecture, workflows, branding, trademarks, documentation, and related materials, is owned by Nupick AI Private Limited or its licensors.
6.2 We reserve all rights not expressly granted.
6.3 You retain ownership of your User Content.
6.4 Feedback may be used by us without restriction or compensation unless prohibited by law or agreed otherwise.
7. Local Processing
7.1 Nupick is designed to keep user content local by default.
7.2 Local data may include chats, prompts, outputs, files, documents, images, PDFs, embeddings, vector indexes, local memory, settings, API keys, connector metadata, and local app state.
7.3 Nupick may use SQLite, ChromaDB, Qdrant, and local file storage.
7.4 API keys and connector credentials are stored locally using the operating system keychain.
7.5 Other local data may depend on your device security and disk encryption.
8. Cloud Models
8.1 During beta, Nupick does not operate a cloud AI relay by default.
8.2 If you use cloud models, requests may be sent directly from your device to third-party providers using API keys you configure locally.
8.3 You are responsible for reviewing and complying with provider terms.
8.4 You are responsible for charges, usage, and consequences associated with your provider accounts and API keys.
9. Connectors
9.1 Nupick may allow you to connect local files, cloud drives, SaaS tools, email services, databases, code tools, and business applications.
9.2 You are responsible for ensuring that you have the right to connect and process each data source.
9.3 Connector-derived data is not sent to cloud models unless you approve after warning.
10. Telemetry
10.1 Telemetry may be enabled by default in beta builds.
10.2 You can disable telemetry from settings.
10.3 Telemetry is not intended to collect chats, files, prompts, outputs, connector content, API keys, passwords, or secrets.
10.4 Logs may accidentally include sensitive fragments.
11. Updates
11.1 Nupick may check for, download, verify, and install updates from downloads.nupick.ai.
11.2 Installers are signed.
11.3 Updates are signed and/or verified where implemented.
11.4 You may disable auto-updates.
11.5 Updates may modify, add, or remove functionality.
12. Open Source and Models
12.1 Nupick includes open-source components.
12.2 Open-source notices and license information are planned.
12.3 Nupick does not bundle local AI models by default during beta.
12.4 Users may download models separately from Ollama, Hugging Face, or other sources.
12.5 You are responsible for complying with model licenses and provider terms.
13. AI Outputs
13.1 AI outputs may be inaccurate, incomplete, outdated, biased, unsafe, offensive, misleading, or unsuitable.
13.2 You are responsible for reviewing and validating AI outputs.
13.3 Nupick is not a substitute for professional advice.
13.4 Nupick must not be used as the sole or final basis for high-stakes decisions.
14. Disclaimer of Warranties
14.1 To the maximum extent permitted by law, Nupick is provided “as is,” “as available,” and “with all faults.”
14.2 We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, security, availability, and error-free operation.
14.3 We do not warrant that Nupick will be uninterrupted, secure, error-free, compatible with all systems, free from data loss, or that AI outputs will be accurate.
15. Limitation of Liability
15.1 To the maximum extent permitted by law, Nupick AI Private Limited will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
15.2 Our total liability will not exceed the amounts you paid to us for Nupick in the 12 months before the claim.
16. Termination
16.1 This EULA remains effective until terminated.
16.2 Your license automatically terminates if you breach this EULA.
16.3 Upon termination, you must stop using and uninstall Nupick.
16.4 Ownership, restrictions, confidentiality, disclaimers, liability limits, indemnity, governing law, jurisdiction, and other surviving terms remain effective.
17. Governing Law and Jurisdiction
17.1 This EULA is governed by the laws of India.
17.2 Subject to mandatory applicable law, courts at Hyderabad, Telangana, India will have exclusive jurisdiction.
