Terms of Service
The agreement governing your access to and use of Nupick.
These Terms of Service (“Terms”) govern your access to and use of Nupick, including the Nupick desktop application, website, beta program, update services, support, documentation, and related services.
These Terms are between you and Nupick AI Private Limited, a private limited company with registered office at 505 Lake View, Madinaguda, Hyderabad, India - 500049.
1. Acceptance
1.1 By downloading, installing, accessing, or using Nupick, you agree to these Terms.
1.2 If you do not agree, do not use Nupick.
1.3 If you use Nupick on behalf of an organization, you represent that you have authority to bind that organization.
2. Eligibility
2.1 The current beta is intended for users aged 14 or older.
2.2 If you are below the age of majority in your jurisdiction, you may use Nupick only with permission and supervision from a parent or legal guardian.
2.3 You may not use Nupick if prohibited by law, sanctions, export-control rules, or these Terms.
3. Beta Status
3.1 Nupick is currently provided as a free, invite-only beta.
3.2 Users may request access through website sign-ups, but access is subject to approval by the founder and/or Nupick team.
3.3 Beta access may be revoked at any time.
3.4 Beta builds are not production-ready.
3.5 Beta features may change, break, be limited, or be removed without notice.
3.6 Beta users should avoid using sensitive, regulated, confidential, or production data.
3.7 Beta users may be required to sign a separate NDA.
3.8 Free beta access does not guarantee free lifetime access.
3.9 Nupick may later offer special terms to early users, but no such offer is promised unless separately stated in writing.
4. Description of Nupick
4.1 Nupick is a local-first desktop AI application for Windows, macOS, and Linux.
4.2 Nupick allows users to run AI models locally on their own device.
4.3 Nupick may support chat, local memory, document search, RAG, image processing, PDF/document processing, connectors, local model management, and AI-assisted workflows.
4.4 Code repository processing is planned.
4.5 Voice mode and Automate mode are not available in the current beta and may be introduced later.
5. Local-First Use
5.1 Nupick is designed to process and store user data locally by default.
5.2 You are responsible for securing your device, operating system, disk encryption, backups, local files, local databases, API keys, credentials, and connected services.
5.3 We are not responsible for data loss, corruption, unauthorized access, or disclosure caused by your device, operating system, local network, malware, third-party software, user configuration, or user actions.
6. Cloud AI Models
6.1 During beta, Nupick does not operate a cloud AI relay by default.
6.2 If you use cloud AI models, requests may be sent directly from your device to the third-party provider you select using API keys or credentials you configure locally.
6.3 Nupick may support multiple third-party AI providers, including OpenAI, Anthropic, Google Gemini, Groq, xAI, OpenRouter, Ollama-compatible providers, Hugging Face-related services, and others.
6.4 You are responsible for reviewing and complying with the terms, privacy policies, usage rules, and data practices of each third-party provider.
6.5 You are responsible for all provider charges, usage, rate limits, suspensions, and account consequences associated with API keys or provider accounts you connect.
6.6 Nupick will show a warning before sending data outside your device for cloud model use.
7. AI Outputs
7.1 Nupick may generate text, summaries, recommendations, classifications, code, analyses, search results, or other AI-assisted outputs.
7.2 AI outputs may be inaccurate, incomplete, outdated, biased, unsafe, offensive, misleading, or unsuitable.
7.3 You are responsible for reviewing, validating, and deciding whether to rely on AI outputs.
7.4 Nupick does not provide legal, medical, financial, tax, employment, compliance, safety, or other professional advice.
7.5 You must not use Nupick as the sole or final basis for high-stakes decisions.
8. Prohibited High-Risk Uses
8.1 During beta, you must not use Nupick for:
- (a) healthcare diagnosis;
- (b) legal advice;
- (c) financial trading;
- (d) employment screening;
- (e) insurance eligibility;
- (f) credit decisions;
- (g) biometric identification;
- (h) children’s profiling;
- (i) weapons-related use;
- (j) surveillance;
- (k) safety-critical systems;
- (l) any use where failure may cause death, injury, serious financial harm, legal harm, or denial of essential services.
8.2 Nupick may assist with general summarization, organization, drafting support, research assistance, and analysis support, but it must not replace qualified professionals or legally required human review.
9. Connectors
9.1 Nupick may allow you to connect data sources such as local files, Google Drive, OneDrive, Dropbox, Notion, Slack, Gmail, Outlook, GitHub, Jira, Confluence, HubSpot, Postgres, MySQL, MongoDB, SQLite, Microsoft Teams, and Calendar services.
9.2 Connector capabilities depend on the connector.
9.3 Connector credentials are stored locally using the operating system keychain.
9.4 Connector sync is manual and user-triggered by default.
9.5 Connector data is not sent to cloud AI models by default.
9.6 Connector-derived data may be sent to a cloud AI model only after warning and user approval.
9.7 You are responsible for ensuring that you have permission to connect, access, process, index, summarize, or analyze each data source.
10. Telemetry
10.1 Telemetry may be enabled by default during beta.
10.2 You can disable telemetry from Nupick settings.
10.3 Telemetry may include app version, OS/device information, crash logs, backend logs, frontend logs, performance metrics, feature usage events, session-flow events, model loading errors, connector sync errors, and update diagnostics.
10.4 Telemetry does not intentionally collect chats, files, prompts, outputs, documents, connector content, API keys, passwords, or secrets.
10.5 Logs may accidentally include sensitive fragments.
10.6 Telemetry is retained until the issue is resolved or for a maximum of 15 days, whichever is earlier, unless longer retention is required for security, legal, abuse-prevention, or dispute reasons.
11. Accounts
11.1 No account is required for local use during beta.
11.2 Cloud-connected features or future paid license features may require an account.
11.3 Expected sign-in methods include Google login and Microsoft login.
11.4 You are responsible for maintaining the security of your account and authentication methods.
12. Fees and Future Paid Plans
12.1 Nupick is currently free during beta.
12.2 Nupick may later offer paid plans, subscriptions, free trials, monthly plans, yearly plans, lifetime licenses, enterprise licenses, per-seat licenses, per-device licenses, usage-based cloud credits, or other commercial plans.
12.3 Payment processor, refund policy, auto-renewal terms, cancellation rules, and paid plan limits are not finalized.
12.4 Any paid features will be governed by checkout terms, subscription terms, order forms, invoices, or separate agreements.
12.5 Free beta access does not entitle you to free access to future paid features.
13. License and Use Rights
13.1 Subject to these Terms and the EULA, you may use Nupick for personal, commercial, internal business, or enterprise use, subject to applicable plan, license, device, and order-form limits.
13.2 Device limits are expected to apply in future paid versions but are not finalized.
13.3 Enterprise use may be subject to separate contracts, security terms, DPA terms, admin controls, audit logs, and license limits.
14. Open Source and Models
14.1 Nupick includes open-source components.
14.2 Open-source notices and license information are planned to be provided in the app and/or website.
14.3 Nupick does not ship local AI models bundled by default during beta.
14.4 Users may download models separately from Ollama, Hugging Face, or other sources.
14.5 You are responsible for reviewing and complying with applicable model licenses and provider terms.
15. Software Updates
15.1 Nupick may check for, download, verify, and install updates from downloads.nupick.ai or successor domains.
15.2 Installers are signed.
15.3 Updates are signed and/or verified where implemented.
15.4 You may disable auto-updates.
15.5 Updates may modify, add, or remove functionality.
16. Confidentiality and Public Sharing
16.1 Beta users must keep non-public product details confidential.
16.2 Beta users may not publicly share screenshots, videos, demos, recordings, unreleased features, internal workflows, or access-restricted product information without prior permission from Nupick AI Private Limited.
16.3 Beta users must not publicly disclose confidential, non-public, unreleased, or access-restricted information about Nupick without prior written permission.
16.4 This section does not prevent users from providing honest feedback directly to Nupick or exercising rights that cannot be waived under applicable law.
17. Feedback
17.1 Feedback and bug reports are optional but encouraged.
17.2 If you provide feedback, suggestions, ideas, bug reports, or recommendations, you grant Nupick AI Private Limited the right to use them to improve, develop, commercialize, and support Nupick without compensation.
18. Acceptable Use
You must not use Nupick to:
- (a) violate law, regulation, contract, court order, or third-party rights;
- (b) infringe intellectual property, privacy, confidentiality, publicity, or data-protection rights;
- (c) generate malware, phishing, ransomware, credential theft, spam, botnets, or cyber abuse;
- (d) commit fraud, impersonation, identity theft, deception, or social engineering;
- (e) unlawfully collect, process, disclose, sell, or scrape personal data;
- (f) harass, threaten, defame, exploit, abuse, or discriminate against others;
- (g) bypass access controls, paywalls, CAPTCHAs, rate limits, robots restrictions, or technical protections unlawfully;
- (h) misuse third-party AI providers, connectors, databases, websites, APIs, accounts, or credentials;
- (i) interfere with Nupick’s security, licensing, telemetry controls, update systems, or integrity.
19. Suspension and Termination
19.1 We may suspend, restrict, or terminate access to beta, cloud-connected features, account features, update services, support, licensing, enterprise services, or future paid features if:
- (a) you breach these Terms;
- (b) you breach beta confidentiality obligations;
- (c) your use creates legal, security, operational, reputational, or provider risk;
- (d) required by law, court order, regulator, or provider requirement;
- (e) your payment fails, if paid features apply.
19.2 Because Nupick is local-first, we may not technically be able to disable already installed local copies, but we may restrict services we control.
20. Disclaimers
20.1 To the maximum extent permitted by law, Nupick is provided “as is,” “as available,” and “with all faults.”
20.2 We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, security, availability, and error-free operation.
20.3 We do not warrant that:
- (a) Nupick will meet your requirements;
- (b) Nupick will be uninterrupted, secure, error-free, or compatible with all systems;
- (c) AI outputs will be accurate, lawful, safe, complete, or suitable;
- (d) beta builds will be stable or production-ready;
- (e) connectors will retrieve, classify, summarize, or protect data perfectly;
- (f) cloud AI providers will remain available or unchanged;
- (g) data will never be lost, corrupted, or disclosed.
21. Limitation of Liability
21.1 To the maximum extent permitted by law, Nupick AI Private Limited will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
21.2 This includes lost profits, lost revenue, lost data, business interruption, security incidents, device damage, inaccurate AI outputs, connector errors, provider actions, telemetry issues, or unauthorized access.
21.3 To the maximum extent permitted by law, our total liability for all claims relating to these Terms or Nupick will not exceed the amount you paid to us for Nupick in the 12 months before the event giving rise to the claim.
22. Indemnity
22.1 To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Nupick AI Private Limited, its directors, officers, employees, contractors, licensors, and agents from claims, losses, damages, liabilities, costs, and expenses arising from:
- (a) your use or misuse of Nupick;
- (b) your User Content;
- (c) your breach of these Terms;
- (d) your violation of law or third-party rights;
- (e) your use of third-party AI providers, APIs, connectors, databases, websites, or credentials;
- (f) your failure to obtain required consent or authorization.
23. Export and Sanctions
23.1 You must comply with applicable export-control, sanctions, and trade-compliance laws.
23.2 Nupick may restrict access from sanctioned, embargoed, or export-restricted countries, regions, entities, or individuals.
23.3 You represent that you are not prohibited from using Nupick under applicable sanctions or export-control laws.
24. Compliance Claims
24.1 Nupick is designed with a privacy-conscious, local-first architecture.
24.2 Unless expressly stated in a signed agreement, Nupick AI Private Limited does not represent that Nupick is certified under or fully compliant with GDPR, HIPAA, SOC 2, ISO 27001, DPDP Act, or any other specific regulatory framework.
25. Governing Law
25.1 These Terms are governed by the laws of India.
26. Jurisdiction
26.1 Subject to any mandatory applicable law, the courts at Hyderabad, Telangana, India will have exclusive jurisdiction over disputes arising out of or relating to these Terms or Nupick.
